1. INTRODUCTION
This Terms of Service Agreement ("Agreement") is entered into by and between All-Star Saver LLC, a company registered and operating in the State of Mississippi, USA ("Company," "we," "us," "our" "Your Exclusive Savings), and you ("User," "Customer," "Affiliate," "you") regarding access to and use of www.YourExclusiveSavings.com ("Website," "Platform," "Service").By purchasing a membership or receiving it as a gift or receiving it free, accessing our services, or participating in the affiliate program, you agree to be legally bound by this Agreement. If you do not agree, you must not use this Website or services. This Agreement outlines the terms governing your rights and responsibilities while using All-Star Saver services, including but not limited to memberships, promotional discounts, and third-party referrals.
2. MEMBERSHIP TERMS & PRICING POLICY
2.1. Membership Pricing & Payment Terms
Annual Membership Fee: $199.95 per year (subject to change without prior notice).
Payment Processing: All payments are securely processed through Stripe and other third-party payment gateways. By purchasing a membership, you authorize All-Star Saver, LLC to charge your selected payment method immediately and, where applicable, for automatic renewals unless canceled prior to the renewal date.
2.2. Final Sale Policy – No Refunds or Chargebacks
Distribution of Information
ALL SALES ARE FINAL. Membership fees are non-refundable for any reason, including dissatisfaction with third-party services. Chargeback disputes will result in immediate termination of your membership, and you may be banned from future use of the platform. All-Star Saver, LLC reserves the right to challenge any chargeback and will provide proof of purchase to dispute fraudulent claims.

3. ACCOUNT SHARING & FRAUD PREVENTION
3.1. Consumer & Affiliate Account Sharing Penalty Consumers: Each membership is strictly for personal use and must not be shared. Any account found to be shared will be subject to account termination.
Affiliates: If an affiliate purchases one account and shares access in exchange for compensation, allowing others to use the account, it is considered fraud. The affiliate will be fined $5,000 per shared account. All-Star Saver, LLC reserves the right to collect fines through legal means, including but not limited to reporting fraudulent activity to relevant authorities.
4. THIRD-PARTY SERVICES, PRICING, & LIABILITY DISCLAIMER
4.1. No Ownership or Control Over Third-Party Providers
All-Star Saver, LLC does not own, operate, or control the businesses, brands, or products offering discounts through our platform.
We act solely as a referral platform and assume no responsibility for third-party transactions, services, or experiences. All-Star Saver, LLC is not liable for any losses, damages, or dissatisfaction arising from third-party products or services, including but not limited to claims of false advertising, failure to provide promised benefits, or defective goods.
4.2. No Guarantee on Pricing, Availability, or Quality
All-Star Saver, LLC makes no representations, warranties, or guarantees regarding: The availability of discounts or promotions at any given time. The accuracy, completeness, or reliability of listed third-party pricing.
The quality, durability, or performance of third-party services or products.
All pricing, promotions, and discounts are controlled by the third-party providers and may change without notice. All-Star Saver, LLC does not verify or endorse the accuracy of third-party claims and does not assume responsibility for the fulfillment of offers listed on its platform.
4.3. Customer Responsibility for Third-Party Transactions
Users must review and accept third-party terms, conditions, and refund policies before making purchases. All-Star Saver, LLC is not responsible for refunds, cancellations, disputes, or claims against third-party providers.

5. GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by and interpreted in accordance with the laws of the State of Mississippi, USA.
Any disputes shall be exclusively resolved in the courts of Mississippi.
5.2. Mandatory Arbitration Clause
Any dispute, claim, or controversy arising under these Terms shall be resolved exclusively through binding arbitration in Mississippi. Users waive their right to sue in court and agree that arbitration shall be the sole dispute resolution mechanism.
Arbitration shall be conducted by a neutral arbitrator appointed in accordance with the rules of the American Arbitration Association (AAA), and decisions rendered shall be final and legally binding. Users agree that arbitration shall be conducted on an individual basis, and class arbitrations or collective claims shall not be permitted.
6. LIMITATION OF LEGAL ACTIONS & CLASS ACTION WAIVER

Users agree that any claim or dispute against All-Star Saver, LLC must be filed within one (1) year of the incident occurring. Any claim filed after the one-year period shall be permanently barred.

Users may not copy, reproduce, distribute, or modify any content from the Website without our prior written consent. 11. FORCE MAJEURE
All-Star Saver, LLC shall not be held liable for any failure or delay in fulfilling its obligations under these Terms due to events beyond its reasonable control, including but not limited to: Acts of God, natural disasters, fires, floods, pandemics. Government orders, regulations, or legal restrictions. War, riots, labor strikes, or civil disturbances. Power failures, cyberattacks, internet disruptions, or service provider failures. 13. SECURITY & ACCOUNT INTEGRITY

Users are responsible for maintaining the security of their account credentials and passwords.
All-Star Saver, LLC shall not be held liable for unauthorized access resulting from weak passwords, phishing attacks, or user negligence. Users must immediately notify All-Star Saver, LLC, of any suspected unauthorized account use. Users are prohibited from sharing account credentials with others or using another user's account without permission.
13.2. Prohibited Actions Affecting Security
Users may not engage in hacking, data scraping, unauthorized access, or attempts to compromise All-Star Saver, LLC’s and/or Your Exclusive Savings platforms integrity. Any attempt to reverse-engineer, modify, or disrupt the security protocols of the platform is strictly prohibited. Violation of security policies may result in immediate termination of accounts and legal action, including civil and criminal liability.
14. PROHIBITED ACTIVITIES
14.1. Misuse of Platform
Users shall not use All-Star Saver, LLC nor Your Exclusive Savings services for illegal, fraudulent, or unethical purposes, including but not limited to identity theft, financial fraud, or unauthorized resale of services. Engaging in activities that disrupt platform operations, harm other users, or overload system infrastructure is strictly prohibited. Users must not impersonate All-Star Saver, LLC, its employees, or representatives in any capacity.
14.2. Consequences of Violation
All-Star Saver, LLC reserves the right to suspend or terminate accounts engaged in prohibited activities. All-Star Saver, LLC may report illegal activities to relevant law enforcement authorities and cooperate fully with investigations. All-Star Saver, LLC reserves the right to take legal action, including seeking damages and injunctive relief against users who violate these terms.
15. INDEMNIFICATION
Users agree to indemnify, defend, and hold All-Star Saver, LLC harmless from any claims, damages, or expenses arising from their use of the services in violation of this Agreement. This includes but is not limited to legal costs associated with defending All-Star Saver, LLC against lawsuits, government investigations, or third-party claims resulting from a user’s actions. All-Star Saver, LLC reserves the right to assume its own legal defense and settlement processes while requiring full cooperation from the user.
16. LIABILITY LIMITATION
All-Star Saver, LLC shall not be liable for any direct, indirect, incidental, or consequential damages arising from service use, including but not limited to loss of data, revenue, business opportunities, or reputational damage. The maximum liability All-Star Saver, LLC assumes, shall not exceed the amount paid by the user for membership within the last twelve (12) months. All-Star Saver, LLC is not responsible for losses incurred due to force majeure events, third-party actions, or platform maintenance downtime.

All-Star Saver, LLC may provide links to third-party websites but does not endorse or guarantee their content, products, or services. Users access third-party links at their own risk and agree that All-Star Saver, LLC is not liable for third-party dealings, including fraudulent transactions, data breaches, or misleading advertisements. 18. TERMINATION & SUSPENSION POLICY
18.1. Grounds for Termination All-Star Saver, LLC may suspend or terminate accounts at its discretion for violations of these Terms, including but not limited to fraud, abuse, misuse of services, or non-payment. All-Star Saver, LLC reserves the right to terminate inactive accounts after a defined period of non-usage. Users found engaging in repeated violations will be permanently banned from the platform.18.2. No Refund Policy for Terminated Accounts Users whose accounts are terminated due to violations will not receive refunds. All-Star Saver, LLC reserves the right to retain any collected fees to cover administrative and legal expenses incurred as a result of the violation.
19. DISPUTE RESOLUTION PROCESS
Users must first attempt to resolve disputes with All-Star Saver, LLC’s customer support before initiating legal action. If unresolved, disputes shall be handled through arbitration as outlined in Section 5.2. Arbitration shall take place in Mississippi, USA, under the rules of the American Arbitration Association. Users waive their right to participate in class action lawsuits against All-Star Saver, LLC.
20. SURVIVAL OF TERMS
Sections related to account security, liability limitations, indemnification, intellectual property, and dispute resolution shall survive termination of this Agreement. All-Star Saver, LLC’s rights to enforce security measures, investigate misconduct, and seek damages shall remain in effect even after termination of an account.
21. AI USAGE & CUSTOMER SERVICE AUTOMATION
21.1. AI-Powered Customer Support
All-Star Saver, LLC utilizes artificial intelligence (AI) to assist with customer inquiries, automate responses, and improve user support efficiency. AI-powered interactions may include chatbots, automated email responses, and virtual assistance.
While All-Star Saver, LLC ensures the AI is designed to provide accurate and helpful responses, users acknowledge that AI-generated communications may not always be error-free or suitable for complex requests requiring human intervention. Users experiencing issues that require personalized attention may request escalation to a human representative.
21.2. Disclaimer on AI Accuracy & Liability
All-Star Saver, LLC makes no guarantees regarding the completeness, accuracy, or reliability of AI-generated responses. Users agree that All-Star Saver, LLC, is not liable for misunderstandings, errors, or misinterpretations arising from AI-powered assistance.
